Net Zero Port Community ("Net Zero Port Community", "we", "us") is an online platform dedicated to fostering Smart Ports. This Agreement, alongside all posted policies on our site, outlines the terms that we extend to you ("you" or "User"), granting access to our site's services, applications, and tools ("Service"). Your utilization of our Service signifies your adherence to the terms and conditions of this Agreement.

Net Zero Port Community is a neutral facilitator connecting various stakeholders within the port industry, committed to spearheading the transition towards emission reduction and fostering sustainable development in port environments. Our mission revolves around transforming ports into hubs of innovation and environmental responsibility. We've established a multifaceted approach to achieve this vision: (1) our inclusive and open online platform serves as a collaborative space for sharing best practices and identifying opportunities within the Net Zero Port Community, (2) our hands-on consulting services drive the implementation of sustainable strategies, (3) our accredited Port Sustainability Training program equips industry professionals with the knowledge to drive change, and (4) our comprehensive toolbox of digital resources empowers the creation, assessment, and realization of sustainable solutions within port operations. Companies can showcase and promote proven products and services, available for a fee, that has undergone successful piloting and can be replicated across various ports in Europe. The unique functional logic of the platform, connecting Solutions, Use Cases and Products, provides a clear blueprint for port implementations. 

 Serving as a neutral focal point, the platform facilitates connections between the supply and demand of sustainable solutions in the European and British port market. 

The Net Zero Port Community toolbox houses innovative applications and services, transformed into automated tools and apps that expedite the transformation of port environments into sustainable models. 

While we always try to provide the highest quality curation and configuration services and support for innovation procurement and other guidance in our Service, such guidance is solely informational, and you may choose to follow it or not. The Net Zero Port Community has no control over and does not guarantee the existence, quality, safety or legality of items or services advertised, nor the truth or accuracy of users' content or listings. 

Behaviour 

To maintain a collaborative and innovative atmosphere within our community, all Users must adhere to guidelines that prevent any adverse impact on fellow Users. Consequently, in utilizing our SERVICE, you commit to following our regulations and refraining from: 

• Associating with companies or ports where you have no affiliation. 

• Posting, listing, or uploading content or items in inappropriate sections or domains on our platform 

• Violating or evading any laws, rights of third parties, or our established systems, policies, or determinations regarding your account status 

• Utilizing our Services if you lack the capacity to enter legally binding agreements (e.g., if you're under 18 years old) or if you're temporarily or permanently barred from using our platform, services, applications, or tools. 

• Manipulating the pricing of any item or interfering with other users' listings 

• Sharing false, inaccurate, deceptive, misleading, defamatory, or libelous content 

• Taking actions that could undermine feedback or rating systems. 

• Transferring your Net Zero Port Community account (including Feedback) and user ID to another party without our consent 

• Distributing or publishing spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes 

• Disseminating viruses or any other technologies that could harm Net Zero Port Community or users' interests or property. 

• Employing robots, spiders, scrapers, data mining tools, data collection and extraction tools, or other automated means to access our Services for any purpose, except with prior express permission from Net Zero Port Community 

• Disrupting the functionality of our Services or overloading our infrastructure unreasonably or disproportionately 

• Exporting or re-exporting any Net Zero Port Community application, data, or tool, unless in accordance with the export control laws of relevant jurisdictions and following posted rules and restrictions 

• Infringing upon copyright, trademark, patent, publicity, moral, database, and/or other intellectual property rights ("Intellectual Property Rights") that pertain to or are licensed to Net Zero Port Community. Some, though not all, actions that could constitute infringement include reproducing, performing, displaying, distributing, copying, reverse engineering, decompiling, disassembling, or creating derivative works from content owned by Net Zero Port Community or others 

• Violating any Intellectual Property Rights belonging to third parties affected by your use of the Services or posting content that doesn't belong to you 

• Commercializing any Net Zero Port Community application or any associated information or software without prior express permission from Net Zero Port Community 

• Collecting information about users without their consent or in a manner that circumvents our technical measures 

• Evading any technical measures, we've implemented to deliver the Services 

By utilizing the Service, you affirm that you fulfil all the prerequisites stated above and that you won't employ the Service in a manner that contravenes any laws or regulations. Please note that by making these representations and warranties, you're entering a legally binding commitment. 

Net Zero Port Community reserves the right to deny service, close accounts of any Users, and modify eligibility criteria at its discretion and at any time. 

Fees 

The charges associated with utilizing our Services are outlined on our Net Zero Port Community Listing Regulations page. We retain the right to modify these fees periodically, with any changes being posted on the Net Zero Port Community site at least 14 days in advance. However, no prior notice will be required for temporary promotions or adjustments resulting in fee reductions. 

The fees as indicated in the Listing Regulations are payable upon the uploading of the respective product. 

Listing Conditions 

Our objective is to establish a platform where ports, port authorities, developers, and other entities interested in realizing Net Zero Port Community solutions can readily discover what they seek. In pursuit of this, your listed ASSETS will be accessible via the search function. You are bound by the following classifications: 

The display or arrangement of listings in search and browsing outcomes will hinge on various factors, including, but not limited to: 

• Quantity and quality of other listings linked to your listing. 

• Search query and filter preferences 

• Language settings 

• Asset creation date 

• Number of listings aligning with the query 

• Data quality and availability for the asset. 

It's important to note that: 

• your listing might not be immediately searchable by keywords or categories, with a delay of several hours. 

• Certain advanced listing enhancements may exclusively apply to specific Services. 

• Metatags and URL links featured in a listing could be adjusted or removed to prevent implications on third-party search engine results. 

I also acknowledge my commitment to abide by Net Zero Port Community's listing regulations while enlisting a product or service: 

• I bear responsibility for the precision and content of the listing and the offered item. 

• Net Zero Port Community cannot assure exact listing durations. 

• Content infringing any of Net Zero Port Community’s policies may be removed at the platform's discretion. 

• We reserve the right to modify data within the Net Zero Port Community catalog to supplement, eliminate, or rectify information. 

• We may offer you optional suggestions to contemplate while formulating your listings. These recommendations may stem from collective views and performance records of analogous listings; outcomes will vary for individual listings. To facilitate the recommendations process, you consent to the display of the page impressions and performance history of your individual listings to other users. 

Members Only Access 

While we provide a substantial portion of our Service and information without requiring user registration, certain information is exclusively intended for Users who are logged in. Net Zero Port Community reserves the right to limit access to specific portions of the Website at our sole discretion. 

If Net Zero Port Community provides you with a user ID (such as your email address) and password to enable access to certain areas of the Website or other content or services, it is your responsibility to maintain the confidentiality of the user ID and password. 

Net Zero Port Community is designed as a platform for high-quality interactions among professionals. Hence, while using a personal email address, you might be requested to re-register using your professional email address, and your private email address could be removed. Furthermore, we retain the right to deactivate your account at our sole discretion. 

Content 

You shall retain all rights, ownership, and interests in the materials, content, data, and information (including personal information, as well as that of others) you submit to Net Zero Port Community. When providing content through our Services, either directly or indirectly, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise all Intellectual Property Rights that you have in that content. • The use of such content (including derivative works) by us, our users, or other parties in contractual relation to us, and in compliance with this Agreement, does not and will not infringe on any third party's Intellectual Property Rights. 

Net Zero Port Community assumes no responsibility and accepts no liability for any content provided by you or any third party. 

We may offer catalogues that include, for instance, product images, descriptions, and specifications from third parties (including BABLE users) 

• You may solely use catalogue content in your Net Zero Port Community listings. 

• Permission to use catalogue content is subject to potential modification or revocation at any time at Net Zero Port Community's discretion. 

Although we strive to offer reliable data, we cannot guarantee that the catalogues, solutions, or other content provided through the Services will always be available, accurate, complete, and up to date. You agree to the following: 

• Net Zero Port Community is not responsible for examining or guaranteeing the listings or content provided by third parties through the Services. You will not attempt to hold us liable for any inaccuracies. 

• When uploading content, it is your responsibility to verify the accuracy of your listings' content. You will not attempt to hold our catalogue providers or us accountable for inaccuracies. 

• The catalogue may include copyrighted, trademarked, or other proprietary materials. You agree not to remove any copyright, proprietary, or identification markings present in the catalogues and not to create any derivative works based on catalogue content (except by including them in your listings). 

The name "Net Zero Port Community" and other associated marks, logos, designs, and phrases used in connection with our Services are trademarks, service marks, or trade dress of Net Zero Port Community within EU countries. Their use requires the expressed, written, and prior permission of Net Zero Port Community. 

Privacy of Others 

If Net Zero Port Community provides you with information concerning another user, you pledge to utilize that information exclusively for the purposes for which it was supplied to you. Disclosing, selling, renting, or disseminating a user's information to a third party for purposes unrelated to the Services is prohibited. Additionally, you shall not utilize such information for marketing intentions, whether electronically or otherwise, unless you secure the explicit consent of the respective user. 

Newsletter 

Net Zero Port Community thrives on information sharing and distribution. Upon subscribing to our newsletter, your data are treated in accordance with GDPR and in line with our Privacy Notice. Additionally, by signing up to the platform, you are automatically enrolled in our Newsletter. Your data will similarly be handled in adherence to GDPR and our Privacy Notice. You retain the right to unsubscribe from the newsletter at any time. We utilize Mailchimp for our newsletter services, and you can find their legal policies here: mailchimp.com/legal. 

General Terms 

Release 

In the event of a dispute with one or more users, you release us (alongside our affiliates and subsidiaries, as well as our and their respective officers, directors, employees, and agents) from claims, demands, and damages (both actual and consequential) of all types and origins, known and unknown, arising directly or indirectly from such disputes. By entering this release, you explicitly waive any protections (whether statutory or otherwise) that might otherwise limit the scope of this release to solely encompass those claims you might be aware of or suspect to exist in your Favor at the time of agreeing to this release. 

Indemnity 

You agree to indemnify and hold us (including our affiliates and subsidiaries, along with our and their respective officers, directors, employees, and agents) harmless against any claims or demands, including reasonable legal fees, made by any third party as a result of or arising from your violation of this Agreement, your improper utilization of Net Zero Port Community’s Services, or your breach of any law or third-party rights. 

General 

Except where otherwise stipulated in this Agreement, if any provision of this User Agreement is deemed invalid, void, or unenforceable for any reason, it shall not impact the validity and enforceability of the remaining provisions. At our sole discretion, we may transfer this Agreement, and in such instances, we will post a notice on www.netzeroportcommunity.eu. 

Headings are provided solely for reference and do not restrict the scope or extent of the relevant section. Our failure to act in response to a breach by you or others does not relinquish our right to take action in response to subsequent or similar breaches. We do not guarantee that we will address all breaches of this Agreement. 

We retain the right to amend this Agreement at any time by publishing the revised terms on www.netzeroportcommunity.eu. This right to amend encompasses modifications, additions, or removals of terms within the Agreement. We will offer a 30-day notice by publishing the amended terms. Additionally, we may communicate such amendments through email or other direct communication forms. Your continued usage of our Service following such changes indicates your acceptance of the revised terms. We might also request your acknowledgement of acceptance of the User Agreement through an electronic click-through. Except through mutual agreement by you and Net Zero Port Community, this User Agreement may not be altered otherwise. 

Policies posted on our sites may undergo changes from time to time. Such changes become effective upon their publication on the Net Zero Port Community site. 

Should you establish or employ an account on behalf of a business entity or port, you confirm your authorization to act on behalf of said entity and bind it to this Agreement. This account is owned and overseen by the respective business entity or port. This Agreement does not intend or create an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship. 

The Terms and Conditions, the User Privacy Notice, and all policies disseminated via our Services constitute the complete comprehension and agreement between you and Net Zero Port Community, supplanting all prior understandings and agreements between the parties. 

The following Sections endure even following the termination of the Terms and Conditions as a User Agreement: Fees, Privacy of Others, Content, and General Terms. 

Law and Jurisdiction 

These terms and conditions are governed by and construed in accordance with European law as specified in German Law. Any disputes pertaining to these terms and conditions will be subjected to the non-exclusive jurisdiction of the courts in Stuttgart, Germany.
